Summary of Role
IMPORTANT NOTE: Please DO NOT APPLY for this CFO role unless your experience includes (a) material securities industry experience related to raising capital and (b) corporate financial management for private Real Estate Funds (Funds) and Real Estate Investment Trusts (REIT).
The Chief Financial Officer (CFO) is a senior officer position, second only to the Chief Executive Officer of a Fund/REIT Management Company. As CFO, your role primarily focuses on the procurement of capital for a series of private real estate funds that are to be prepared for listing on various securities exchanges as REITs. This role encompasses a wide range of duties and responsibilities to maximize shareholder value while ensuring financial integrity to meet regulatory compliance.
The CFO reports directly to the Board of Directors.
The CFO will be critical in steering the financial direction of Reichard Capital LLC, and its Fund/REITs, ensuring robust financial health and regulatory compliance while maximizing shareholder value. This involves a blend of strategic planning, financial expertise, investor relations, and regulatory compliance.
Key Responsibilities:
1. Fundraising and Exchange Listings:
- Initial Capitalization: Ensure adequate capital is secured to launch each Fund/REIT raising capital through soliciting and selling securities through direct contact with accredited investors and or through broker-dealers.
- UpREIT Process: Assisting other senior management team members through the UpREIT process, which includes rolling up properties into each Fund prior to REIT conversion.
- Conversion to REITs: In coordination with in-house legal counsel, manage the conversion of privately held real estate fund (Fund) shares to exchange-traded Real Estate Investment Trust shares prior to exchange listing.
2. Financial Reporting and Compliance:
- Financial Reporting: Supervision of internal Controller to ensure accurate and timely preparation of financial statements, including income statements, balance sheets, and cash flow statements for each property within the Fund/REIT, as well as the consolidated financial statements for the Fund/REIT as a whole for securities regulators, which include the SEC, state administrators, as well as securities exchanges.
- Regulatory Compliance: Ensure REIT-specific compliance guidelines are adhered to for all relevant regulations and reporting requirements, including SEC and exchange regulations.
- Audit Coordination: Manage the firm’s relationships with outside legal counsel and accounting firms regarding both tax preparation and audit of numerous real estate properties in various asset classes.
- Investor Communication: Maintain transparent and regular communication with investors through the annual and quarterly reports of each Fund/REIT and the Fund Management Company.
- Financial Policy Development: Implement and maintain department policy and further develop finance department policy for Board approval.
3. Cash Flow Management:
- Cash Flow Optimization: Manage the REIT's cash flow to ensure sufficient liquidity for operations, distributions, and new investments.
- Dividend Distributions: Oversee the calculation and distribution of dividends to shareholders, ensuring adherence to the REIT's stated policies and regulations.
4. Financial Systems and Technology:
- Financial Systems: In coordination with the firm’s CTO, design, implement and maintain robust financial systems and internal controls to ensure accuracy and efficiency in financial operations within the Fund Management Company and each Fund/REIT.
- Technology Integration: Leverage technology to enhance financial reporting, investment analysis, and portfolio management capabilities.
Strategic Role:
1. Leadership and Team Management:
- Team Leadership: Build and lead the finance team, providing guidance, mentoring, and support to ensure high performance.
- Cross-Functional Collaboration: Work closely with other departments, including acquisitions, asset management, and investor relations, to align financial strategies with overall business objectives.
Qualifications and Skills:
1. Education Requirements:
- Educational Background: Bachelor’s degree in corporate finance, accounting, economics, or a related field with commensurate experience; an MBA degree is highly preferred.
- Certifications: Certifications such as FINRA Series 7, 24, 65, 79, or JD, CPA, CFA, and CMA are strongly preferred and will be given preference on hiring.
2. Experience:
- Industry Experience: Extensive experience in the securities and accounting industry (Required), with a strong focus on Private Real Estate Funds and/or REITs.
- Leadership Experience: Proven track record in a senior financial leadership role, preferably within Private Real Estate Funds and/or REITs or real estate investment firms.
- Start-Up/Early-stage Experience: Experience working in an early-stage company building environment preferred.
3. Technical Skills:
- Financial Acumen: Deep understanding of financial principles, investment analysis, and portfolio management.
- Analytical Skills: Strong analytical and problem-solving skills, with the ability to interpret complex financial data and make strategic decisions.
- Technological Proficiency: Proficiency in financial software, modeling tools, and technology platforms relevant to the REIT industry.
4. Soft Skills:
- Communication: Excellent communication and presentation skills, with the ability to convey complex financial information to diverse audiences.
- Leadership: Strong leadership and team management skills, with the ability to inspire and motivate a high-performing team.
- Strategic Thinking: A strategic mindset that can think long-term and align financial strategies with business goals.
Location:
- The position will initially be remote but will later become centrally located in Chicago Some travel may initially be required (up to 25%). At a later date (TBD) office travel will be established on frequency and timing, but full-time attendance at corporate headquarters will be recommended, but may offer flexibility as we assemble corporate office policy.
Compensation:
- Aggressive cash compensation schedule, as well as ESOP plan. The initial term (until 12/31/2024) will be 1099 reporting. After an established performance period, the position will convert to W-2 salaried employment with ESOP and full company benefits. Additional compensation: Base salary does not include other forms of compensation or benefits offered in connection with the advertised role.
