Position Description
JOB TITLE: Corporate Counsel
DEPARTMENT: Legal Department
LOCATION: Simpsonville, South Carolina
REPORTS TO: General Counsel
FLSA CLASSIFICATION: Salaried, exempt
POSITION PURPOSE
The Corporate Counsel is responsible for assisting the General Counsel with the management, drafting and production of the Franchise Disclosure Document and Franchise Agreement within federal and state regulations, the management and negotiation of vendor contracts (including SaaS contracts, supply and manufacturing contracts, and service contracts), intellectual property portfolio, litigation matters, corporate governance, and other legal matters and projects managed by the Legal Department.
JOB DUTIES AND RESPONSIBILITIES
- Assisting the General Counsel with drafting, negotiating, and reviewing/modifying legal documents and contracts to meet Company standards/objectives.
- Conducts legal research and manages the Company’s intellectual property.
- Develops and maintains a good working relationship in all client areas.
- Responsible for evaluating the legal impact of various corporate or department strategies, determining alternatives based on business and legal considerations and the relevant environment.
- Represents and supports varies departments in dealings with external parties.
- Coordinates and works with other areas of the Legal Department on related matters to ensure efficient resolution of issues.
- Drafts, proofreads, edits, and issues official communications, Franchise Disclosure Document, contracts, and other legal documents.
- Responsible for legal research and drafting.
- Trains and educates team members on legal matters as preventive legal measures.
- Assist with developing strategic direction and alternatives on legal matters.
- Provides status reports on pending legal matters, advice in course of action for department/division legal issues, and identifies, reviews and understands internal files and documents.
- Provides support for General Counsel in all legal matters concerning the Company.
- Successfully completes special projects and other assignments.
- Commitment to exercise at least 3x week preferred.

Skills:
- Proficient in demonstrated transactional skills, including structuring, drafting, reviewing, and negotiating sophisticated agreements; reviewing and understanding all relevant regulations and statutes; and managing complex transactions.
- Firsthand knowledge of statutes, rules, and regulations pertaining to businesses.
- Demonstrated analytical, research, and presentation skills, with ability to speak extemporaneously.
- Excellent ability to draft a variety of legal documents.
Hands-on experience with Microsoft Office.

Education:
- Bachelor’s Degree and a Juris Doctor Degree.
- Member of a State Bar (South Carolina State Bar preferred) in good standing.
Experience:
- 1+ years of practice with an established law firm with a focus on corporate clients.
- Transaction law experience preferred.
- Franchise experience preferred on the state and federal level.
Intellectual property experience preferred.

Work Environment
- Works primarily in a climate-controlled environment with minimal safety/health hazard potential.
Physical Demands:
- Ability to be punctual and attend work on a regular and consistent basis.
- Overtime may be required to meet project deadlines.
- Ability to concentrate with various interruptions, weather conditions, and noise levels.
- Must be able to talk, hear, use hands, fingers, climb or balance, stoop, kneel, crouch, and crawl.
- Must be able to stand and walk 60%E of the time.
- Occasionally will be expected to lift boxes not to exceed 30+ pounds.
