2-5 years experience drafting private placement memorandums is required. Work entails communicating with clients by email, phone, and zoom. Attorney will work with other attorneys, paralegals, admin staff and managing attorney to create private placement offering documents for a busy real estate securities law practice. Attorney must have experience advising clients regarding securities compliance under Regulation D, Rule 506. Work will include advising clients regarding corporate structure (LLCs), private placement offering documents and securities obligations. Work may also include review of legal or offering marketing materials created by other staff members (paralegals, law clerks, and professional editors) and/or answering their questions. The preferred candidate should be detail and process-oriented. Experience with real estate offerings is required; experience with other types of offerings (non-real estate, Reg CF and Reg A+) is desired.
Attorney may be asked to take potential client calls, participate in live trade show events at various locations around the country, or appear on podcasts as a representative of the firm.
Must be able to start work assignments within 48 hours of assignment. Reasonably quiet work environment, recent-vintage computer, reliable internet, video camera and reliable cell service are minimum job requirements. Must be proficient in Microsoft Word.
This is a Virtual law practice and candidate may work from anywhere in the United States, but must be a US-licensed attorney, with good English communication skills and have prior experience with exempt US securities offerings.
