We are seeking a skilled and motivated Assistant General Counsel to join our legal team. Reporting directly to the General Counsel and Chief Compliance Officer, the Assistant General Counsel will play a crucial role in providing legal guidance and support across various aspects of the company's operations, with a focus on contract review, regulatory compliance, E&O/litigation management, and risk management.

Responsibilities

Legal Compliance: Monitor and ensure compliance with federal and state laws and regulations governing benefits administration, including Medicare Marketing Guidelines, the Internal Revenue Code, ERISA, HIPAA, COBRA, ACA, and other relevant statutes.

Contract Review and Negotiation: Review, draft, and negotiate a wide range of contracts, agreements, and legal documents, including client contracts, vendor agreements, and partnership agreements.

Risk Management: Identify legal risks and provide strategic advice to mitigate potential liabilities. Develop and implement policies and procedures to minimize legal exposure.

Regulatory Affairs: Stay abreast of changes in laws and regulations affecting the benefits administration industry. Provide guidance to internal stakeholders on compliance requirements and best practices.

Litigation Support: Collaborate with external legal counsel as needed on litigation matters. Assist in managing disputes, claims, and regulatory inquiries.

Training and Education: Conduct training sessions and workshops for internal teams to promote legal awareness and ensure adherence to legal requirements.
Skills and Qualifications

Juris Doctor (JD) degree from an accredited law school.

Admission to the bar in good standing in at least one state.

5-7+ years of experience practicing law with deep contract review experience from either the vendor or procurement perspective. Experience in benefits administration or a related field is preferred.

Strong knowledge of federal and state laws governing benefits, including regulations governing the marketing of Medicare Plans, ERISA, HIPAA, ACA, and COBRA.

Excellent analytical, problem-solving, and communication skills.

Ability to work independently and collaboratively in a fast-paced startup environment.
